Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Nuulab Systems LLC, a limited liability company based in Texas, USA ("Nuulab", "we", "us"). They cover the NuuStudio plugin for EmDash, the nuu.studio website, your dashboard, the cloud library, our private package registry and support (together, "NuuStudio").

By creating an account, buying a plan or installing NuuStudio, you agree to these Terms, our Privacy Policy and the License Agreement. If you accept for a company or a client, you confirm you can bind them, and "you" means that organization. You must be at least 18, or the age of majority where you live.

2. Accounts and sign-in

• Give us accurate details, including a working email address, and keep them up to date.
• Sign-in is provided by our authentication partner, WorkOS, and can use passwords, passkeys, social sign-in and two-factor authentication. Keep your sign-in methods secure; you're responsible for what happens under your account.
• An account belongs to one person. To give colleagues access, use an Agency team (section 3) rather than sharing a sign-in.
• Tell us at hello@nuulab.com straight away if you think someone has used your account or license key without permission.

3. Agency teams

The Agency and Everything plans let the account owner invite teammates as admins, members or viewers. The owner is responsible for the people they invite and for what those people do with the account's licenses, sites and cloud library. Billing always stays with the owner. If the owner's plan ends, teammates lose access to the team until it's renewed; their own accounts aren't affected.

4. Plans and payment

• Prices are shown in US dollars on our pricing page and at checkout. Taxes may be added where the law requires.
• Payments are processed by Stripe. We never see or store your full card number.
• Solo, Pro and Agency are yearly subscriptions. Everything is a one-time payment for our highest Agency tier. It is offered for a limited time and we may stop selling it at any point; licenses bought while it is available are honored as described in the License Agreement.
• Discount codes are optional, can't be exchanged for cash, apply only to the plans and terms they name, and may have limits or end dates.
• If a renewal payment fails, Stripe retries it. If it still can't be collected, your plan ends after the year you've already paid for, plus a short grace period.

5. Renewals and cancelling

• Yearly plans renew automatically at the end of each year, at the price shown to you, until you cancel.
• You can turn off renewal at any time from Plans and billing in your dashboard. Your plan stays active until the end of the year you've already paid for.
• If we change the price of a plan, we'll email you at least 30 days before it applies to your next renewal, so you can cancel first if you prefer.

6. Refunds

If NuuStudio isn't right for you, email hello@nuulab.com within 14 days of a payment, including a renewal or an Everything purchase, and we'll refund that payment in full. When we refund a payment, the license it paid for ends. After 14 days, payments aren't refundable, except where the law says otherwise or we choose to make an exception. Nothing in these Terms limits rights you have under consumer protection laws that can't be waived.

7. Your license

NuuStudio is proprietary software owned by Nuulab. We don't sell it to you; we license it to you under the License Agreement, which sets out how many sites each plan covers, what's included and what isn't allowed. In short: published pages keep working if your license ends, and only the editor locks until you renew.

8. Your content

You own the pages, layouts, themes, templates, text, images and other material you create or upload ("your content"). You give us a limited license to host, copy, process and display your content only as needed to run NuuStudio for you: for example, to store items in your cloud library, show thumbnails, deliver them to your sites and keep backups. Make sure you have the rights to everything you upload. We don't claim ownership of your content and don't use it to train AI models.

Data your own websites collect with NuuStudio, such as form entries, analytics and consent choices, is stored in your EmDash site, not with us. You are responsible for handling it lawfully, including telling your visitors about it.

9. Cloud library

The cloud library is included with the Agency and Everything plans. Items you save stay available while your plan is active. If your plan ends, we keep your items for at least 90 days so you can renew or export them; after that we may delete them. We may set fair-use limits on storage and file sizes to keep the service fast for everyone.

10. Support

Support is included while your plan is active, through the Support area of your dashboard. Pro, Agency and Everything get priority replies. We aim to answer within two business days, or one for priority plans, but response times aren't guaranteed. Support covers using NuuStudio as documented; it doesn't include building sites for you or fixing other plugins, themes or hosting.

11. Acceptable use

You agree not to:

• share, publish or sell license keys, or use one key beyond its plan's site limit;
• redistribute, resell or sublicense NuuStudio, or bypass its license checks;
• use NuuStudio, the cloud library or support to store or share unlawful, infringing or harmful material, or malware;
• probe, overload or attack our systems, or access accounts or data that aren't yours;
• use NuuStudio in breach of any law that applies to you or your sites.

12. Third-party services

NuuStudio works with software and services we don't control, including EmDash, Astro, your hosting provider, and AI providers you connect with your own API keys. Your use of those is governed by their terms. When you use AI features, your prompts and page content go directly from your site to the provider you chose, under your agreement with them.

13. Suspension and termination

• You can stop using NuuStudio at any time. To close your account, email us.
• We may suspend or deactivate an account or license key if you seriously or repeatedly break these Terms, if a payment is reversed or disputed, or if we must to protect NuuStudio, other customers or the law. Where it's reasonable, we'll tell you first and give you a chance to fix the problem.
• Pages you have already published keep working even if your account is deactivated.
• Sections that by their nature should continue (such as ownership, disclaimers, limitation of liability and governing law) survive termination.

14. Changes to the service and these Terms

We improve NuuStudio all the time, and features may change. Features marked as beta are provided as they are and may change or be removed. We may update these Terms; if a change materially affects you, we'll email you or show a notice in your dashboard before it takes effect. Continuing to use NuuStudio after that means you accept the new Terms.

15. Disclaimers

We work hard to make NuuStudio reliable, but it is provided "as is" and "as available". To the extent the law allows, Nuulab disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that NuuStudio will be error-free or uninterrupted, or that it will work with every EmDash version, plugin, theme or host. Keep backups of your sites.

16. Limitation of liability

To the extent the law allows, Nuulab is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of NuuStudio. Our total liability for any claim relating to NuuStudio is limited to the amount you paid us in the 12 months before the event that gave rise to the claim. Some places don't allow these limits, so they may not all apply to you.

17. Indemnity

You agree to defend and compensate Nuulab against third-party claims arising from your content, your websites, or your breach of these Terms or the law, including reasonable legal costs.

18. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. The courts located in Texas have exclusive jurisdiction over any dispute, unless the law where you live gives you the right to bring a claim in your local courts. Before going to court, please email us so we can try to resolve the problem informally.

19. General

• These Terms, the License Agreement and the Privacy Policy are the whole agreement between us about NuuStudio.
• If part of these Terms can't be enforced, the rest still applies.
• If we don't enforce a right straight away, we haven't given it up.
• You can't transfer your account or these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
• Neither of us is responsible for delays caused by events beyond reasonable control.
