License Agreement

This License Agreement is between you and Nuulab Systems LLC, Texas, USA ("Nuulab"). It applies to the NuuStudio plugin for EmDash, including its builder, runtime, updates and documentation ("the Software"), and forms part of our Terms of Service. NuuStudio is proprietary, commercial software; it is not open source.

1. The license

When you buy a plan, Nuulab grants you a worldwide, non-exclusive, non-transferable license to install and use the Software on the number of production sites your plan allows (plus unlimited development sites), for as long as your license is active, subject to this agreement. If you are on an Agency team, you use the Software under the account owner's license.

2. What each plan covers

Every plan includes every module, the Theme Builder and the official layout library. Current prices are on our pricing page. Licenses bought under plans we no longer sell keep the terms they were sold with; a license bought as Agency Cloud now counts as Agency.

3. Sites and seats

• A production site is one public domain. example.com and www.example.com count as the same site.
• Development sites never use a seat. These include localhost, private network addresses, domains ending in .local, .test or .localhost, and staging or dev subdomains such as staging.example.com. Use them only for building and testing, not to serve a live site. We may adjust which hosts count as development to prevent misuse.
• You can move a seat at any time by removing a site in your dashboard and activating the key on another one.

4. Client work

You may use the Software to build and maintain sites for your clients, and your clients may edit their own site with it while it's covered by your active license. Each client site uses one of your seats. If a client wants to keep using the editor independently, they need their own license. You may not give your license key to a client, or anyone else, to use on sites you don't manage.

5. Updates and when a license ends

• Yearly plans include updates and support for as long as the plan stays active.
• If a yearly license expires or is cancelled, your published pages keep working exactly as they are. The editor locks until you renew, and you can keep running every version released while your license was active.
• Renewing restores editing, updates and support right away.
• The Software checks your license periodically and keeps working offline for a grace period, so a short outage on our side won't affect your sites.

6. The Everything plan

Everything is our highest Agency tier: everything in Agency, paid once with no renewals. It is a limited-time offer, and we may stop selling it at any time without affecting licenses already sold. An Everything license includes updates, support, the cloud library and team access for the lifetime of the product, meaning for as long as Nuulab sells or supports NuuStudio. If we ever stop, you keep the right to use the last version you received on your existing sites, and we'll give you reasonable notice and a way to export your cloud library.

7. White label

On Agency and Everything you may replace NuuStudio's name, logo and colors in the builder with your own for your clients. You may not remove or change copyright and license notices in the code, or present the Software as something you created.

8. What isn't allowed

Unless the law expressly allows it despite this restriction, you may not:

• share, publish, sell or give away license keys, or use a key on more production sites than your plan allows;
• copy, redistribute, resell, rent, lend or sublicense the Software, or publish its package to any registry or repository;
• remove, disable or get around license checks, or change the Software to unlock features your plan doesn't include;
• reverse engineer, decompile or disassemble the Software, except to the extent applicable law permits despite this limit;
• use the Software or its code to build a competing page builder or product;
• use the Software in breach of the law or our Terms of Service.

You may change the Software's files for your own sites (for example, to fix a compatibility issue), but those changes are covered by this agreement and aren't supported.

9. Your work

The pages, layouts, themes and templates you create, and the HTML and CSS NuuStudio produces from them, belong to you. The small runtime scripts NuuStudio adds to your published pages are licensed to you permanently for those pages, so your sites keep working whether or not your license is active.

10. Ownership

The Software, including its code, design, modules, premade layouts, documentation and trademarks, is owned by Nuulab Systems LLC and protected by copyright and other laws. This agreement gives you a license, not ownership, and we keep all rights not expressly granted. "NuuStudio" and the NuuStudio logo are trademarks of Nuulab Systems LLC. If you send us feedback or ideas, we may use them without obligation to you.

11. Third-party components

The Software includes open-source components that are licensed under their own terms, such as the MIT, ISC or Apache 2.0 licenses. Those terms apply to those components, and nothing in this agreement limits your rights under them. Premade layouts may use sample images from free-to-use sources, which are credited on nuu.studio.

12. Ending the license

Your license ends when your plan expires without renewal, when a payment for it is refunded, or if we terminate it because you seriously breach this agreement or the Terms. When it ends, section 5 applies: your published pages keep working, and the editor and updates stop. If it ends because of a breach, you must also stop using the Software and remove it from your sites. Sections 8 to 14 survive.

13. Warranty and liability

The Software is provided "as is". The disclaimers, limitation of liability and governing law in our Terms of Service (sections 15 to 18) apply to this agreement too.

14. General

This agreement is governed by the laws of the State of Texas, USA. You can't transfer your license without our written consent, except that an agency may transfer an entire account to a company that takes over its business; email us to arrange it. If we update this agreement, the version in effect when you bought or last renewed applies to that license term.
